Nishikawa社長辞任へ ゴーン前会長ら不正の被害350億円以上

日産自動車(7201.T)は9日、西川広人社長兼最高経営責任者(CEO)が16日付で辞任し、山内康裕最高執行責任者(COO)が暫定的な後任に就くと発表した。指名委員会が10月末をめどに正式な後任を決める。特別背任などの罪で起訴された前会長カルロス・ゴーン被告らの不正によって「350億円以上」の被害を受けたとする社内調査結果を公表し、ゴーン被告らに損害賠償を請求する意向を示した。s

9日の取締役会終了後、取締役会議長の木村康社外取締役らが本社で会見した。木村氏は、西川社長が従来から辞任の意向を示しており、社内調査という「大きな区切りを迎えた」と指摘。取締役会からの要請を受け、西川氏から「次の世代へのバトンタッチを加速してほしい」と辞任の意思表明があった、と述べた。正式な後任決定前での辞任については、会社が置かれた客観的な情勢やタイミングなどから判断したという。s

取締役会では、1年かけたゴーン被告らの不正に対する社内調査結果が報告されたほか、株価に連動した報酬を受け取る権利「ストック・アプリシエーション・ライト(SAR)」をめぐり、権利行使日の変更によって本来得られるよりも多くの額を西川社長が得た問題への対応を協議した。s

SARの問題について、監査委員長の永井素夫社外取締役は「西川氏が多くの報酬を得るために権利行使日を動かしてくれという指示はしていない。本来は自分でやらなければいけないところ、秘書(部下、ケリー被告)に任せていたことが社内規定違反だった」と意図的な不正を否定した。s

関係者によると、SARによる報酬支払に不正な点があったのは西川社長のほか、ゴーン被告と前代表取締役グレッグ・ケリー被告、元取締役2人、現役員4人の計9人。ただ、日産はゴーン・ケリー両被告以外の役員は不正の認識がなく、指示や依頼をした事実もないため不正行為に関与したとみる余地はないと結論づけ、責任追及は予定していないとした。s

永井氏は、ケリー被告について「逮捕され、ヒアリングできなかった」が、意図的に関係部署に知らせないなどの不正をうかがわせるメールが残っていたと指摘。一方、西川社長は意図的に隠すような指示メールがなかったと説明した。西川社長はSARで不正にかさ上げされた分の報酬を返納する意思をすでに表明している。SARによる報酬制度は2020年度に廃止する方針。s
